We specialise in drafting and reviewing business contracts and various other commercial agreements such as employment contracts. Although contracts will have to be in legal jargon, we spend the time to explain to our clients in plain English the ramifications of their decisions. Above all, we provide advice that is sensible and at a cost that is always competitive.
We provide a bespoke contract drafting service. We will take the time to understand your business and draft a contract that suits your exact needs and takes into account the pitfalls and associated risks. We will advise you, negotiate on behalf of you and ensure your business is protected. We draft a range of different business agreements such as joint venture agreements, where two parties come together to enter into a new business venture.
We also review existing commercial contracts and agreements to ensure that the terms correspond with what you agreed with your business partner, supplier or client. We ensure that your contracts are up to date and reflect changes in the law. We will advise you if the contract exposes you to risk and flag important clauses like non-competition and your obligations during and at the end of a contract.
Memorandum of understanding (MOU)
Having worked closely with entrepreneurs and businesses, we understand that impromptu business decisions are often made when a business opportunity arises and parties do not have time to execute to a formal contract. It is in these circumstances that parties tend to agree MOUs, which are not ordinarily binding, but they are nevertheless used frequently to formalise basic terms.
We advise on and draft shareholder’s agreements for limited companies. It is often the case that parties agree to a contract based on a standard constitution and are content with just having ordinary shares where each carries one vote.
However, many businesses are not happy with this arrangement and use a Shareholders Agreement, which allows parties to draft the terms of their relationship in a way that suits them, including clauses that protect minority rights such as ‘tag and drag along’ clauses and those that distribute more equal voting rights. In addition, talk to us about:
